1. About These Terms

These terms and conditions govern your use of the Result Studio website and the services we provide. By using our website or engaging our services, you agree to be bound by these terms.

Result Studio is a trading name of Heppleston Ltd (trading as Codesky), a company registered in England and Wales. When we say "we", "us" or "our", we mean Heppleston Ltd.

2. Our Services

We provide the following services for tradesmen and local businesses:

  • Website design and development
  • Website hosting and ongoing maintenance
  • Local search engine optimisation (SEO)
  • Google Ads management
  • Digital marketing consultancy

The specific scope, deliverables, timelines, and pricing for each project will be agreed in writing (via email, proposal, or signed agreement) before work begins.

3. Quotations & Pricing

  • All prices quoted are exclusive of VAT unless stated otherwise.
  • Quotations are valid for 30 days from the date of issue unless otherwise stated.
  • We reserve the right to amend pricing if the scope of work changes materially from what was originally agreed.
  • Any additional work requested beyond the agreed scope will be quoted separately.

4. Payment Terms

  • Website builds: a deposit of 50% is required before work begins, with the remaining 50% due upon completion and before the site goes live.
  • Monthly services (hosting, SEO, advertising management): invoiced monthly in advance via direct debit or card payment.
  • All invoices are due within 14 days of issue unless otherwise agreed.
  • Late payments may incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts Act 1998.

5. Client Responsibilities

To allow us to deliver your project effectively, you agree to:

  • Provide all required content, images, logos, and brand assets in a timely manner
  • Respond to requests for feedback or approval within a reasonable timeframe (typically 5 working days)
  • Ensure all content you provide is accurate, lawful, and does not infringe any third-party rights
  • Provide access to any existing hosting, domain, or third-party accounts as needed

Delays caused by late provision of materials or feedback may affect project timelines and are not the responsibility of Result Studio.

6. Intellectual Property

Website ownership

Upon full payment, you own the final website design and content created specifically for your project. This includes custom copy, page layouts, and any bespoke graphics created for you.

What we retain

We retain ownership of:

  • Our underlying code frameworks, templates, and development tools
  • Any pre-existing intellectual property or third-party assets (e.g. stock images, fonts licensed under their own terms)

Portfolio rights

We reserve the right to showcase your completed project in our portfolio, case studies, and marketing materials unless you notify us in writing that you object.

7. Hosting & Maintenance

  • Website hosting is provided as part of our monthly service plans.
  • We aim for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible.
  • We perform regular backups but recommend you keep your own copies of important content.
  • If your hosting plan is cancelled, you are responsible for migrating your site to an alternative provider. We can provide your site files upon request.

8. SEO & Advertising Services

  • SEO and advertising results are not guaranteed. Search engine rankings depend on many factors outside our control, including algorithm changes, competition, and market conditions.
  • We will use best practices and proven strategies to achieve the best possible results for your business.
  • Google Ads budgets are separate from our management fees and are paid directly to Google.
  • We provide monthly reporting on campaign performance.

9. Cancellation & Refunds

Website projects

  • If you cancel a website project before any design work has begun, we will refund your deposit in full.
  • If design or development work has already started, the deposit is non-refundable but will be applied to any work completed to date.
  • Completed and delivered websites are non-refundable.

Monthly services

  • Monthly services (hosting, SEO, ads management) can be cancelled with 30 days' written notice.
  • No refunds will be issued for partial months.
  • Any outstanding invoices must be settled before cancellation takes effect.

10. Limitation of Liability

  • Our total liability for any claim arising from our services is limited to the total fees paid by you in the 12 months preceding the claim.
  • We are not liable for any indirect, consequential, or incidental losses, including loss of profit, revenue, data, or business opportunity.
  • We are not responsible for losses caused by factors outside our reasonable control, including third-party service outages, search engine algorithm changes, or acts of force majeure.
  • Nothing in these terms limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Confidentiality

Both parties agree to keep confidential any commercially sensitive information shared during the course of the project. This includes business plans, customer data, pricing strategies, and proprietary processes.

12. Third-Party Services

Our website and services may link to or integrate with third-party services (e.g. Google, Meta, domain registrars, hosting providers). These services have their own terms and privacy policies, and we are not responsible for their content, availability, or practices.

13. Website Use

When using our website, you agree not to:

  • Use the site for any unlawful purpose
  • Attempt to gain unauthorised access to our systems
  • Introduce viruses, malware, or other harmful code
  • Scrape, copy, or republish our content without permission

14. Dispute Resolution

If a dispute arises, we will always try to resolve it informally first. Please contact us at hello@resultstudio.co.uk and we will do our best to find a fair resolution.

If we cannot resolve the dispute informally, it will be governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction.

15. Changes to These Terms

We may update these terms from time to time. The "last updated" date at the top of this page will reflect the most recent revision. Continued use of our website or services after changes are posted constitutes acceptance of the updated terms.

16. Promotional Offers

  • Any discounts or promotional offers are applied at our discretion and may be withdrawn at any time.
  • Promotional offers cannot be combined with other offers unless explicitly stated.
  • Promotional pricing applies to the initial project only and does not extend to ongoing monthly services unless stated.
